ISIRO End User License Agreement

Acceptance required to install or use ISIRO Runtime or ISIRO Compiler.

This End User License Agreement ("Agreement") is a legal agreement between you, whether an individual or an entity ("you"), and Isiro, Inc. ("Isiro," "we," "us") and governs your access to and use of the ISIRO Runtime, the ISIRO Compiler, the proprietary .tic format (Tensor Inference Core, "TIC"), and related software, binaries, container images, and documentation (collectively, the "Software").

By installing, pulling, accessing, or using the Software, you accept and agree to be bound by this Agreement. If you do not agree, do not install, pull, access, or use the Software. This Agreement may be accepted only by a person of the legal age of majority in their jurisdiction, or by an authorized representative of an entity.

1. License Grant

Subject to your compliance with this Agreement, Isiro grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to:

The Software is licensed, not sold. Isiro retains all right, title, and interest in and to the Software, including all intellectual property rights.

2. License Tiers (Runtime)

The ISIRO Runtime is offered in three license tiers:

  • Developer. For evaluation and non-production use.
  • Production / Enterprise. For production deployments and/or custom terms.

Specific entitlements for each tier (including pricing, capacity limits, and permitted use) are defined when a license is issued to you and are enforced through your license credential. Tier descriptions in documentation or ordering materials may be updated from time to time. Unless you have activated a Production or Enterprise license credential, use of the ISIRO Runtime after installation defaults to the Developer tier. Use beyond your assigned tier is not permitted under this Agreement.

3. The ISIRO Compiler

Access to the ISIRO Compiler is provided at no charge after you accept this Agreement and Isiro issues you credentials. Your use of the Compiler is limited to the license in Section 1.

5. .tic Artifacts and Underlying Models

The .tic format is a proprietary artifact format owned by Isiro. This Agreement covers the Software and .tic format only, not model weights, checkpoints, or other third-party content.

If you compile third-party checkpoints, upstream license terms still apply (for example, the Meta Llama Community License for checkpoints derived from Llama models). You are responsible for compliance. Isiro is not a party to your upstream license agreements.

6. Operational Data

The Software does not transmit your model weights or your input/output data to Isiro. See the Privacy Policy for other operational data practices.

7. Disclaimer of Warranties

The Software is provided "AS IS" and "AS AVAILABLE," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

8. Limitation of Liability

To the maximum extent permitted by law, Isiro's liability arising from this Agreement or the Software is limited to direct damages, capped at the greater of (a) amounts you paid in the twelve (12) months before the claim, or (b) US$100.

9. Term and Termination

This Agreement remains in effect until terminated, including if you breach it. Upon termination, cease use of the Software and remove its copies from your systems, including container images. You may keep .tic files on disk. Sections 4, 5, 7, 8, 10, and 11, together with Isiro's retained rights in Section 1, survive termination.

10. Export and Compliance

You will comply with applicable export control and sanctions laws when using the Software.

11. Governing Law

This Agreement is governed by the laws of the State of Texas, USA, without regard to its conflict-of-laws principles. The exclusive venue for disputes shall be the state and federal courts located in Williamson County, Texas, and you consent to their jurisdiction.

12. Changes to this Agreement

Isiro may update this Agreement by posting a new version at the EULA URL. You accept an update when you accept that version through the runtime installer or another Isiro credential or access flow.

13. Entire Agreement

This Agreement constitutes the entire agreement between you and Isiro regarding the Software and supersedes all prior understandings, except where a separate signed Enterprise agreement applies, in which case that agreement governs to the extent of any conflict.
